General Terms & Condition to Local Purchase Order(LPO)
This Annexure is part of this LPO and remain as the integral part thereof.
Your (Seller/Vendor/Supplier/Subcontractor /second party) quotation referred in our LPO or the Scope of work/Service/Supply of Goods required by AIRMECH (Buyer/Purchaser/Contractor/First Party) through provided details is the reference & identification for Scope of works/Service/Supply of Goods that are to be carried out/rendered/supplied at Work Site or at our Store as the case may be along with respective quantities and rates as mentioned, after discount. However the work/Service is to carry out as per the Site visit/Drawings & Specifications/Bill of Quantities; likewise Goods are to be supplied as per requirements; and no variations or additional work shall be accepted unless otherwise approved by Client/Consultant/Airmech/Concerned Authorities. Your scope includes all required resources to complete in all respect of the task that is entrusted through this LPO.
Material/manpower/tools & tackles/PPE/plant & equipment/scaffold set/etc. as required, as the case may be, to carry out the work/render the services/supply the goods shall be your scope and our price as per this LPO is inclusive of  such charges hence no additional payment shall be made by AIRMECH for such expenses. The supplier has included within his price the costs for all necessary sampling, testing that may be required to demonstrate that the materials/goods/services are in compliance to specification as detailed by the contract or stipulated on this order.
Submittals and approvals of drawings/materials/MSDS/Catalogues/Samples/Company Profile/Any other documents/items shall be as per the standard norms of the project or according to the prescribed forms from Client/Consultant/Airmech as the case may be. Testing & Commissioning as per the Project requirement has to be carried out and Warranty Documents/O&M Catalogues also are to be submitted as per Project requirement but before settlement of your account. Conducting Bahrain CDD/EDD/ other ministerial inspections and obtaining approvals from such authorities are in purely in your scope.
The Scope should be completed as per the drawing, specifications, standards and as per the agreed schedule. The work is to be carried out/service or goods are to be delivered as per the specified schedule according to AIRMECH’s program. Coordination and cooperation in work/delivery is to be worked out in consultation with our Project Team/Office Team as the case may be.
Representatives of the Buyer and his client/Consultant and any persons duly authorized by them shall have access at all reasonable times and places to inspect and /or test any materials/goods that are being prepared. Provided that the inspection or testing(or failure to inspect or test) of the goods or materials by the Buyer or such other person authorized by the Buyer shall not relieve the supplier of his obligation to supply goods or materials in conformity with the order nor shall any such inspection or testing (or failure to inspect or test) be construed as acceptance of the goods or materials confirmation of the accuracy or any measurement in respect of the goods or compliance with any required standard.
Complete scopes of work/service/goods are to be carried out/rendered/delivered to the entire satisfaction of consultant /client/AIRMECH.
Invoice (referring LPO NO. and DN. No.) to be submitted after completion of works/rendering services/delivering goods or as agreed and the payment shall be released as per agreed terms after getting necessary approvals of Consultant/Client/Airmech Authorities.
Contractor/Service Provider/Supplier is not permitted to sublet awarded scope to any third party either partially or completely without prior permission from Airmech.
The Consultant/Client/Airmech Official are the final authorities to Inspect and certify the works done/services rendered /goods delivered according to this LPO.
Ministry of Labour rules and regulations, safety precautions, etc. shall be strictly followed for all the personnel that you are going to engage at site/while carrying out the work/rendering the services/while delivering the goods. All the deliveries are made with due observance of restricted route and to such points of the contract site/place as may be made directed by the AIRMECH.
All payments/salaries/employee benefits/rights or any other expenses for the workers & staff engaged for carrying out the works/rendering services/for delivering goods is purely your own responsibility.
Any property damage caused by you or your associate is to be repaired/replaced immediately to the satisfaction of the client/consultant/concerned/related to the Work or Project if you are carrying out a subcontract job. Supplier shall indemnify the Purchaser against all costs, liabilities and proceeding in respect of loss or damage to third party property, injury to persons or any other loss which may result out of or in consequence of the execution of this order.
In case of delay in works/rendering services/delivering goods beyond the schedule and if Airmech find it is difficult to reach up to the target date which may ultimately affect project duration, in such case Airmech has the right to engage other agency to complete the task and expenses shall be debited to your account. Final settlement in such case shall be as decided by Airmech.
In case of any delay in executing the scope of work/In rendering services/in delivery, penalty shall be imposed as applicable.
Defect Liability Period shall be applicable to contractor/sub-contractor as per the main contract terms, to be verified from the main contract agreement (for Contract jobs only).
AIRMECH, without liability to you (Seller/Supplier/Vendor/Subcontractor/2nd Party) ,may deduct from any amounts due to you ,any amounts owed to AIRMECH  or any of  AIRMECH’s affiliates by you or any of your affiliates under this order or otherwise, and may withhold any payment without penalty to AIRMECH if you owe any amount of money to AIRMECH or AIRMECH’s affiliates.
Particular condition (including additional condition therein) of LPO that will be included as the case may be; shall have precedence over the General Conditions.
Seller warrants that it has not offered or given and will not offer or give to any employee, agent or representative of AIRMECH any gratuity with a view toward securing any business from AIRMECH or influencing such person with respect to the terms, condition or performance of this order or any contracts with AIRMECH.
Acknowledge the receipt of this LPO within 2 working days including the date of receipt or as agreed; otherwise it will be considered as accepted. Order is valid for 7 days or till the delivery date as per LPO specified and shall stand automatically cancelled thereafter
All goods/services accepted are subject to final approval of the AIRMECH regarding quality, quantity and specification. The AIRMECH reserves the right to reject, if further defects are noticed even if in the first instance the goods/services have been accepted by the AIRMECH and are paid of AIRMECH’s decision about such rejections at whatever time made shall be final and binding upon the supplier and the supplier shall not object to it in any manner whatsoever. The rejected material (Goods) shall be removed from the site by the supplier with due expedition; otherwise it may attract demurrage charges. All packing control, freight and handling cost or any other cost of such rejected material will be borne by the supplier.
The AIRMECH reserves the right to cancel or amend this order or any part thereof for the following reasons (a) Irregularities in supply (b) Rejections (c) Escalation in price (d) Not required by the company without assigning any reason and without in any manner incurring any liability. AIRMECH’s decision shall be final in disputes arising out of Purchase Order. Money due to the company either as damages or under any other order may be adjusted when setting payment against this order.
Unsolved disputes if any shall be dealt as per the Laws of Kingdom of Bahrain.
Note:  Terms  and conditions stated above shall be applicable based on the nature of work/ service/ goods demanded as per this LPO
